Terms of Service
Version 3.0 · Effective date: 02-Sep-26 · Last updated: August 2026
These Infere Terms of Service (the “Terms”) govern access to and use of: (a) the Infere website(s) at infere.com (the “Site”); (b) the Infere web-based application(s) and any future mobile or desktop application(s) (the “App”); (c) the Infere application programming interfaces and developer tools (the “API”); and (d) any associated products and services (collectively, the “Service”).
These Terms, along with any Annexes, appendices, or any other exhibits or supplemental agreements thereto and any other terms and policies referenced herein, are incorporated by reference and form an integral part hereof, as amended from time to time, and constitute a legally binding agreement as of the Effective Date, governing your access to and use of the Infere Service (“Infere”, “we”, “us”, “our”) and any related applications owned or operated by Infere (the “Sites”). These Terms are between Infere and you, either individually, or on behalf of your employer or any other entity which you represent (“you” or “User”).
Interpretation
- The division of these Terms into clauses, sub-clauses, and paragraphs, and the insertion of headings are for convenience of reference only and shall not affect the construction or interpretation of the Terms.
- Capitalised terms used but not defined in a specific Annex or incorporated document shall have the meaning given to them in these Terms.
- Reference to any agreement, document, instrument, statute, enactment, ordinance, order, regulation, etc., shall be construed to include a reference to the amendments, extensions, re-enactments, supplemental, restatements, novation, and/or consolidations thereto from time to time.
- Except where expressly stated otherwise, references to “reasonable” or “material” shall be interpreted objectively in accordance with applicable law.
- All the appendices, annexures, and exhibits to the Terms shall form an integral part thereof.
- In the event of any inconsistency between the body of these Terms and any Annex, the body prevails unless the Annex expressly states it prevails.
1. Binding Agreement and Categories
By creating an Account, clicking “I accept”, accessing, or using the Service, you enter into a legally binding agreement with Infere as of the date of first acceptance or use (the “Effective Date”). If you enter into these Terms on behalf of an entity, you represent and warrant that you have full authority to bind such entity and that such entity accepts responsibility for all acts and omissions of its authorised users.
Business vs consumer users. (a) If you access the Service in the course of business (including on behalf of an entity), you are a Business User and these Terms apply as B2B terms. (b) If you are a natural person acting outside your trade/business, you are a Consumer and the additional mandatory consumer protections in Annex E (Consumer Terms) apply. Nothing in these Terms limits Consumer rights that cannot be excluded under applicable law, including Directive 2011/83/EU and any amendments thereof.
Authority. If you use the Service on behalf of an entity, you represent and warrant that you have authority to bind it, and “you” includes that entity. If you use the Service on behalf of an entity, that entity is the User. The individual accepting these Terms and any Admin is deemed an Authorised Representative of the User.
2. Definitions
In these Terms: “Account” means a User account registered with Infere. “Admin” means any person designated with an owner or admin role in an Organisation Workspace or granted administrative permissions to manage Users, API Tokens, billing settings, budgets, security settings (including Observability and logging), routing and model settings, and/or access permissions and membership settings. “Authorised User” means any individual (including Admins) permitted by the Business User to access or use the Service under the Business User’s Account or Organisation Workspace. “Authorised Representative” means any individual who creates an Account or accepts these Terms on behalf of a User entity or is designated or treated as having authority to act on the User’s behalf in the Service. “AI Provider” means a third-party provider of inference/model APIs integrated into the Service. “Credits” means pre-paid value or usage entitlements purchased or granted for consumption of the Service and/or Provider Services. “High-Risk AI System” means an AI system classified as high-risk pursuant to Article 6 and Annex III of Regulation (EU) 2024/1689 (EU AI Act), as supplemented by Commission delegated acts; the User bears sole responsibility for determining whether its deployment constitutes a High-Risk AI System. “Input” means any prompt, query, data, file, content, instruction, or other material submitted by or on behalf of a User to the Service or a Provider Service. “Inference Request” means a request routed by the Service to an AI Provider, including any accompanying metadata. “Observability” means optional diagnostic logging which, if enabled, may process and store sanitised request/response bodies and related metadata for debugging, abuse prevention, and service integrity purposes. “Order Form” means an ordering document that specifies commercial terms for the Service. “Provider” means a third-party provider of AI model APIs or related services accessible via the Service. “Provider Terms” means the terms, policies, acceptable-use rules, and data processing terms imposed by a Provider for its Provider Services. “Token” means an API key or credential used to authenticate access to the Service. “User Content” means Inputs, files, prompts, instructions, data, text, images, or other content submitted by or on behalf of you through the Service. “Usage Data” means telemetry and metadata about use of the Service and Provider Services.
3. Services
Infere provides a routing and management layer that enables Users to send requests through a single endpoint, where Infere may authenticate requests, verify Credits/budgets, apply routing preferences and compliance constraints, select a Provider Service, forward the request, and return Output to the User. Infere may normalise formats and protocols to provide a consistent interface and may apply technical transformations necessary for interoperability, which do not constitute a modification of the AI model’s intended purpose or a substantial modification within the meaning of the EU AI Act.
Services disclaimers. Infere does not develop, train, or host the underlying third-party AI models made available via Providers; Provider Services remain subject to Provider Terms. Infere does not review, monitor, endorse, or validate Output and does not assume responsibility for the legality, accuracy, safety, or regulatory classification of any User use case. The Service and Output are not intended to provide legal, medical, financial, or other regulated professional advice.
Fallbacks/failover. Unless restricted by your configuration, the Service may route requests to an alternative model/provider in the event of error, outage, degraded performance, or other conditions. Infere may modify, update, enhance, or discontinue any aspect of the Service, including features, APIs, or integrations. Beta features are provided on an evaluation basis without warranty, subject to mandatory statutory conformity rights.
4. Eligibility
The Service is not intended for children. You must be at least 18 years of age to create an Account. You must provide accurate and complete information and keep it updated. You are responsible for all activity under your Account and for safeguarding Tokens and passwords, and must promptly notify Infere of any suspected compromise. The Service may support prepaid, postpaid, and enterprise account types.
5. Acceptable Use
You must comply with applicable laws and Annex A (Acceptable Use Policy). You must not use the Service in violation of applicable trade controls, sanctions, or export laws, and must comply with any prohibited AI practice including manipulative, exploitative, or otherwise prohibited AI uses in accordance with the EU AI Act or other applicable regulation. Infere may implement geo-blocking, screening, or other controls and may suspend or terminate access where it reasonably suspects breach.
You must not (and must not permit a third party to) use the Service to violate law, submit or process Special Category Data without appropriate safeguards and consent, use the Service for high-risk or safety-critical decisions without appropriate human oversight, attempt to reverse engineer or defeat security, transmit malware, or misrepresent Output as human-generated where disclosure is legally required. Infere may suspend or restrict access immediately where it reasonably believes there is breach, abuse, security risk, legal exposure, or risk to third parties. You are solely responsible for determining whether your intended use constitutes a High-Risk AI System and for implementing required safeguards.
6. Credits and Billing
Fees may apply for some or all use of the Service. Infere reserves the right to modify pricing with reasonable advance notice. Charges are calculated based on actual usage, including token counts and other metering units, at the applicable pricing at the time of use. If auto-recharge is enabled, you authorise Infere to charge your designated payment method when Credits fall below a configured threshold. Business Users authorise Infere to rely on instructions and actions taken within an Organisation Workspace by any Admin. You may not set off or withhold payments except to the extent required by law. Prepaid Credits are non-refundable and non-transferable, except as required by applicable law or set out in Annex E (Consumer Terms). Where postpaid billing is enabled, you authorise Infere to invoice in arrears and agree to pay within 30 days of the invoice date. Fees are exclusive of VAT and other taxes unless stated otherwise. Billing disputes should be raised with Infere support within 30 days of the invoice date or charge. Payments may be processed by third-party payment service providers.
7. Activity
You are responsible for all activity conducted using your credentials, API keys, tokens, and devices. You must promptly notify Infere of any suspected compromise and cooperate with reasonable remediation steps. Admins must maintain appropriate access controls, apply least-privilege assignment, and promptly remove access for departing personnel.
8. AI Providers and Provider Terms
Your use of specific AI Providers and models may be subject to additional terms imposed by the AI Provider. Where Provider Terms apply, you agree to comply with them. Output may be probabilistic, non-deterministic, incomplete, fabricated, or inaccurate, and Infere makes no representations regarding uniqueness or non-infringement of such Output. AI Providers are third parties, and Infere does not control their systems, models, outages, pricing, retention, or training policies. If Provider Terms conflict with these Terms, these Terms govern your relationship with Infere, and the Provider Terms govern your use of the Provider Service.
9. Consumer Terms
If you are a Consumer, mandatory consumer law applies and nothing in these Terms limits your statutory rights. Annex E (Consumer Terms) applies in addition to these Terms and prevails to the extent required by mandatory consumer law. Where the Service is supplied as digital content or a digital service, you may have a right to withdraw within 14 days, unless you expressly request immediate performance and acknowledge that you will lose the right of withdrawal once performance begins. If the Service is not in conformity, you may be entitled to remedies such as bringing the service into conformity, price reduction, or termination, to the extent required by law.
10. Output Disclaimers
Output may be incorrect, incomplete, misleading, or inappropriate. You are solely responsible for evaluating Output for your use case, including by applying human review and domain-appropriate verification. The Service and Outputs do not constitute legal, medical, financial, or other regulated professional advice. You will implement appropriate human oversight and safeguards for your downstream use cases.
11. Intellectual Property
As between you and Infere, you retain all rights you have in User Content, and you grant Infere a worldwide, non-exclusive, royalty-free licence to host, transmit, process, cache (where enabled), reproduce to the extent technically necessary, and otherwise use User Content solely as necessary to provide, secure, maintain, and support the Service. As between you and Infere, Infere assigns to you (or grants you a perpetual licence to) Infere’s rights in Output, if any, subject to Provider Terms and third-party rights. Infere and/or its licensors retain all rights in and to the Service, including code, interfaces, routing logic, billing and credit architecture, data models, analytics, documentation, trademarks, and branding. You grant Infere a perpetual, irrevocable, worldwide, royalty-free right to use and exploit your feedback and suggestions.
12. Usage Data and Observability
By default, Infere stores Usage Data and archives usage events for billing, fraud detection, security, and analytics. Prompt/response bodies are not stored unless Observability is enabled for your Token or Account. Infere may use aggregated, anonymised, and de-identified Usage Data to operate, improve, secure, and benchmark the Service. Observability is disabled by default unless enabled by you or an Admin, and Observability Data is retained for a limited period as defined in Annex D and/or the Privacy Policy.
13. Data Protection
Personal data processing is governed by GDPR and Malta’s Data Protection Act (Cap. 586). Infere acts as Controller for account administration, billing, relationship management, fraud prevention, and compliance obligations, and as Processor for personal data contained in User Content and/or Inference Requests where the User determines the purpose and scope. If you are a Business User and Infere processes personal data on your behalf as Processor, the DPA applies and is incorporated by reference. Where personal data is transferred outside the EEA, transfers will be governed by appropriate safeguards (e.g., SCCs) as set out in the DPA.
14. Regulatory Provisions
Infere provides a routing, normalisation, and metering service for third-party AI services. Unless expressly stated in an Order Form, Infere is not the provider of the underlying AI model/service for regulatory purposes. You are solely responsible for determining the regulatory classification of your use case, making any required user disclosures, and implementing appropriate human oversight and safeguards. To the extent the EU Data Act applies, switching, portability, and contractual requirements are handled as described in Annex F (Data Act and Switching Terms). Personal data is processed in accordance with the Privacy and Cookies Policy and, where applicable, the DPA.
15. Confidentiality
Each party may receive confidential information of the other. The receiving party shall protect such information using at least the same degree of care as it uses for its own similar information (and not less than reasonable care) and may use it solely to perform under these Terms. Standard exceptions apply. The obligations of confidentiality shall survive termination for five years, or indefinitely in respect of trade secrets.
16. Warranty and Disclaimer
Infere warrants it will provide the Service with commercially reasonable care and skill. To the maximum extent permitted by law, the Service is provided “as is” and “as available”, and Infere disclaims warranties of merchantability, fitness, non-infringement, uninterrupted availability, uptime, or security. Unless expressly set out in an Enterprise Agreement, no service level commitments or uptime guarantees apply.
17. Limitation of Liability
To the maximum extent permitted by law, Infere will not be liable for indirect, consequential, special, punitive, or exemplary damages, or for loss of profits, revenue, goodwill, data, or business interruption. Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, wilful misconduct, or any liability which cannot be excluded under applicable law. Infere’s aggregate liability in any rolling twelve (12) month period shall not exceed the total fees paid by User to Infere in that period, except as set out above.
18. Indemnity
Users shall indemnify, defend, and hold harmless Infere and its affiliates against claims arising from or relating to User Content, breach of these Terms, violation of law, infringement of third-party rights, use of Outputs, and regulatory fines arising from User misuse. This clause applies to Business Users, except to the extent mandatory law permits otherwise in relation to Consumers.
19. Termination or Suspension
You may terminate by closing your Account, subject to payment of outstanding amounts, by contacting Infere support at [email protected]. Infere may suspend or restrict access immediately where you breach these Terms, Infere reasonably suspects fraud, abuse, or security compromise, required by law or Provider Terms, upon non-payment or exceeded credit limits, or where a Provider ceases offering a Provider Service. On termination, your licence ends, Tokens are revoked, and you must cease use; accrued payment obligations and other survival provisions remain in effect.
20. Terms Amendments
Infere may modify the Service, including adding/removing providers, models, and features. Material changes to these Terms will be notified via in-Service notice or email at least 30 days prior, where required. For Consumers, material changes shall not apply retroactively.
21. Force Majeure
Neither party shall be liable for any failure or delay in performance (excluding payment obligations) caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, sanctions, labour disputes, telecommunication or cloud infrastructure failure, cyberattacks, or failure of third-party service providers. If a Force Majeure Event continues for more than thirty (30) consecutive days, either party may terminate the affected Services upon written notice.
22. Export Control and Sanctions
You represent and warrant that you are not located in, incorporated in, or ordinarily resident in any jurisdiction subject to comprehensive trade sanctions imposed by the European Union, United States, United Kingdom, or United Nations, and are not listed on any applicable sanctions list. You shall not use the Service for prohibited military, surveillance, weapons, or other restricted applications in violation of applicable law.
23. Entire Agreement and Order of Precedence
These Terms, together with any incorporated annexes, Order Forms, the Data Processing Agreement, and applicable Provider Terms, constitute the entire agreement between the parties. In the event of conflict, the order of precedence shall be: (a) an executed Order Form; (b) these Terms; (c) incorporated Annexes; (d) Provider Terms.
24. Governing Law and Jurisdiction
These Terms are governed by the laws of Malta, and the courts of Malta shall have exclusive jurisdiction. If you are a Consumer in the EEA, you may also have rights to bring claims in your country of residence and benefit from mandatory consumer protections. Before commencing proceedings, a party shall give written notice of the dispute and the parties shall attempt in good faith to resolve it within 30 days from receipt of the notice.
25. Miscellaneous
User may not assign these Terms without Infere’s prior written consent, which shall not be unreasonably withheld in the case of a bona fide corporate reorganisation. Infere may assign these Terms in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets. Unless otherwise agreed, Infere may identify a Business User as a user of the Service and use its name and logo in customer lists and marketing materials. If any provision is invalid, it will be modified to the minimum extent necessary and the remainder remains in force.
